Litigation Experience
We have 15 years of litigation experience. We have conducted cases in the Subordinate Courts, High Court and the Court of Appeal, which is the highest Court in Singapore.

 

The types of cases handled by us include commercial, corporate, partnership, probate, tortious and criminal matters.

 

Some examples of the work which we litigated on -
  • the recovery of S$4.5 million for a partner in a partnership dispute.
  • obtaining injunctions against companies.
  • the Attorney General's reference in the case of Louise Gilbert De'Sousa.
  • we conducted several high profile cases like the Father Joachim Kang and ACCS's case.
  • we instructed Queen's Counsels both in England and Australia.

 

Incorporation & Corporate Secretarial Services

We are presently the corporate secretary to more than 25 companies incorporated in Singapore. We have incorporated more than 100 companies in Singapore.

 
 

Projects & Consultancy Contracts

Advisory, formulation, architechture, drafting and preparation work for projects & consultancy contracts.

 

Some of the projects which we have handled -
  • negotiated, advised and prepared and design and fabrication contract between James Park Associates and Singapore International Airlines (SIA). This was for the design and fabrication of the new first class passenger seats (fully reclining seats) for SIA.
  • acted for the Australian based concert and tour organizers, Frontier Asia, to bring in notable artists like Tom Jones and Garbage.
  • assisted in the setting up of Quantel in Singapore. Quantel is a leading technology company based in UK, which designs and manufactures post production computers used in movies like "The Toy Story".

 
 

Joint Venture, Mergers & Acquisition and Capital Market

Joint venture, mergers & acquisition, capital market, capital restructuring, financing, security issues, directors' roles & liabilities, shareholders' interests and various contractual matters. The work includes the advisory, formulation, architecture, drafting and preparation of the various legal documents pertaining to the matters above.
Some examples of the work done by us -
  • the acquisition of one of the top clubs in Singapore known as "ChinaBlack".
  • the acquisition of Go-Events.com Pte Ltd by Juniper Ventures Pte Ltd, a subsidiary of Sangyong.
  • the acquisition of Inovuus Technologies Pte Ltd by Miyoshi Precision Ltd, a public listed company in Singapore.
  • setting up "Thumper".
 

Insolvency & Liquidation

Companies winding-up, corporate insolvency, liquidation, schemes of arrangement and personal bankruptcy.
 
Some of the cases include -
  • instructing Queen's Counsels in England, namely Mr Gerald Godfrey & Mr Richard De'Lacy.
  • acting for 100 unit owners to recover their freehold title in a hotel in Penang against the management/developer who became insolvent.
  • restructuring of the debt situation of Ban Hin Leong and formulation a scheme for the setting up of a special purpose company to raise S$31 million.
